The European cleaning industry is experiencing growth. At the same time, the high rate of work-related health problems associated with that growth means improvements in the sector are needed. The SCA brand Tork ® has taken on this challenge, launching Tork Easy Handling ™, a new ergonomic packaging system to help relieve some of the burden of the job.

With the aim of contributing to a better working environment for cleaners, Tork conducted an observational study that included more than a hundred cleaners and customers from four countries (Germany, France, the Netherlands and Sweden) in different sectors.
 
The study included observing cleaning workers in their daily work and subsequently interviewing them. This provided Tork with new insights, which have had a strong impact on the industrial designers and engineers who worked on the new packing solution for Tork Easy Handling.
 
“The new packages have been designed with one purpose in mind – to make working life easier for cleaning personnel, improving the ergonomics and efficiency of the tasks they perform,” says Kristian Grennfelt, Packaging Development & Industrial Design Center Manager for Tork.
 
Tork Easy Handling is being launched throughout Europe. The system consists of the plastic container Carry Pack and the cardboard box Carry Box. The system introduces a number of characteristics that are more efficient and ergonomic compared with traditional packages, such as new handles that allow a cleaner to carry a cardboard box in each hand.
 
Tork Easy Handling Carry Box will also be launched in North America this summer.

The SCA Graphic Laakirchen AG PM 10 was successfully started up on January 23, 2012 after a Metso-supplied press section rebuild in Laakirchen, Austria. The main target of the modernization was to increase production and to decrease energy consumption.

sca laak_opt_web “Our target was to increase sheet dryness after the 3rd press for increased speed. We also wanted to reduce the draw and specific energy consumption and at the same time maintain the high quality level as before the rebuild,” says Andreas Vogel, Production Manager of SCA Graphic Laakirchen PM 10.

Metso’s delivery comprised a rebuild of the press section with a new SymBelt shoe press. In addition, the delivery included mechanical drives for the whole press section and an automation system upgrade for the shoe press. The SymBelt shoe press significantly increases sheet dryness which in turn reduces steam consumption, improves machine runnability, helps reach higher speed and increases production.

The 7.3-m-wide PM 10 produces uncoated wood-containing paper (SC-A) within a basis weight range of 45-60 g/m2 at the design speed of 1,600 m/min. The production capacity of PM 10 is 260,000 tonnes annually.

SCA is a global hygiene and paper company that develops and produces personal care products, tissue, packaging solutions, publication papers and solid-wood products. The company’s sales in 2011 amounted to EUR 11.7 billion and it has approximately 44,000 employees.

SCA has named Joséphine Edwall-Björklund as its new Senior Vice President Corporate Communications.

Joséphine Edwall-Björklund, 48, has held leading positions in communications since 1988. She currently holds the position of Vice President Communications at Ericsson Global Services. She has been working for Ericsson since 1991.

As head of the Corporate Communications staff, Joséphine Edwall-Björklund will be a member of SCA’s Corporate Senior Management Team, reporting to CEO Jan Johansson.

“Joséphine Edwall-Björklund has a broad background in internal and external communications including branding and M&A, which will be of great value for SCA”, comments Jan Johansson, President and CEO.

She will assume her position on September 15.

The European Commission has today, 5 July 2012, approved SCA's acquisition of Georgia-Pacific's European tissue business. The purchase price amounts to EUR 1.32 bn on a debt free basis. The operations have approximately 4,700 employees.

The acquisition confirms SCA’s position as a European leader in the industry with an enhanced, integrated European tissue business and well-known brands.

Georgia-Pacific’s European tissue business, which comprises of15 plants located in seven countries and the well-known Lotus brand, will be transferred to SCA´s ownership in connection with the closing of the deal which is expected 20 July.

EU´s clearance requires divestment of Georgia-Pacific´s consumer tissue business in the UK including production capacity, Georgia-Pacific´s Benelux consumer tissue branded business under the Lotus brand and some of Georgia-Pacific´s and SCA`s retailer branded business in Scandinavia including production capacity.

SCA’s previously announced divestment of its packaging business, excluding the two kraftliner mills in Sweden, has been completed.

The buyer is DS Smith and the purchase price amounts to EUR 1.7bn on a debt-free basis. SCA’s two kraftliner mills in Sweden are not included in the transaction as they are well integrated with SCA´s forest products operations.

The divested operations have approximately 12,000 employees.

The European Commission has on the, 25 May 2012, approved DS Smith’s acquisition of SCA's packaging operations, excluding the two kraftliner mills in Sweden. The purchase price amounts to EUR 1.7bn on a debt free basis. The operations have approximately 12,000 employees.

Jan Johansson, President and CEO of SCA, comments: "The most important condition for finalizing the deal has now been fulfilled. Today's decision by the EU will enable SCA to continue to strengthen and consolidate its positions in the hygiene and forest products areas."

The Commission has conditioned the decision to DS Smith making some divestments after the acquisition. SCA's packaging operations will be transferred to DS Smith's ownership in connection with the closing of the deal which is expected to take place according to schedule.

SCA has accepted DS Smith´s formal offer

SCA has accepted DS Smith´s formal offer to acquire the packaging operations in France following consultations with appropriate works councils. As a result, a sale and purchase agreement has been signed by both parties.

On 17 January 2012, SCA announced that its packaging operations – excluding the two kraftliner mills in Sweden – will be sold to DS Smith. The agreed purchase price amounts to EUR 1.7bn on a debt free basis.

As for the French part of the packaging operations, the price for which is included in the announced purchase price, DS Smith had made a formal offer to acquire also those operations. This acquisition was subject to consultation with the French works councils and has been managed separately.

After the consultation with the French works councils has been completed, SCA has accepted DS Smith's formal offer, and as a result, a sale and purchase agreement for the French operations has now been signed.

Following the signing of the sale and purchase agreement, the process will continue towards completing the entire transaction, which includes review of relevant competition authorities. Closing of the transaction is expected to take place in the second quarter 2012.

SCA strengthens its presence in South America

SCA acquires the remaining 50 percent in the Chilean hygiene company PISA (Papeles Industriales S.A.), and will after the transaction own 100 percent of the company. The purchase price is approximately 520 MSEK.

The turnover 2011 was approximately 780 MSEK. The company is primarily operating within tissue for consumers and Away-From-Home usage, which represents almost 70 and almost 30 percent of the turnover, respectively. In addition, incontinence care products under SCA’s global brand TENA have been introduced in Chile through PISA.

SCA entered PISA with a 50 percent ownership during 2003. After the acquisition announced today, which is expected to be closed end of April, PISA will be a fully-owned subsidiary to SCA.

“The time is ready for us to take the next step in our expansion in Latin America, where the PISA acquisition further strengthens our presence on this important growth market,” says Jan Johansson, CEO and President of SCA.

PISA holds a position as number two in consumer tissue with the brand Favorita. Within AFH tissue, PISA also holds a number two position in Chile. The company has over 400 employees and a production facility in the capital Santiago.

Changes in SCA's reporting structure

As a result of the ongoing divestment of the packaging operations, excluding the kraftliner operations in Sweden, certain changes will be made in reporting starting with the first quarter of 2012, with retroactive adjustment of comparative periods in 2011 and 2010.

The changes are as follows:

Profit for the period with respect to the packaging operations that are currently being divested will be reported up until the completion of the sale only on one line in SCA's earnings report – Profit from disposal group held for sale. This profit item is not included in operating profit and thereby only affects net profit for the period.

Cash flow attributable to the packaging operations that are currently being divested is indicated separately. These assets were indicated separately on the balance sheet already at the end of 2011.

Starting with the first quarter of 2012, the kraftliner operations, i.e., the two kraftliner mills in Munksund and Obbola that SCA is keeping, have been transferred to the Forest Products business area.

All product groups in the Forest Products business area, including kraftliner, will be reported together as a total for the business area.

With these changes, starting with the first quarter of 2012 SCA will have three business areas: Personal Care, Tissue and Forest Products.

SCA increases its ownership in Vinda

SCA has decided to acquire an additional 5 percent of the shares in the leading Chinese tissue company Vinda. The purchase price is around 600 MSEK.

The seller in the transaction is Fu An, a company majority owned by Mr Li, the Chairman of Vinda. SCA’s share in Vinda after the transaction will be 22.6%.

Vinda is one of the most successful tissue producers in China, the second largest tissue market in the world. Currently Vinda commands strong brand recognition in the country and being the third largest player in the China household paper industry in terms of market share and production capacity. The company has eight production facilities with a total production capacity of 470,000 tons and targeting to reach 1 million tons in the coming years.

“The market for tissue products in China continues to grow well and continues to consolidate with the larger players, like Vinda, growing at a significantly faster speed than the market. We intend to be among the leading players in China and we have for this reason taken the decision to increase our ownership in Vinda”, says Jan Johansson, SCA’s President and CEO.

The transaction is subject to receiving consent from some of Vinda’s lending banks. Vinda is listed on the Hong Kong Stock Exchange.
