The Paper Excellence Group, a global diversified manufacturer of pulp and specialty, printing, writing, and packaging papers, has just announced the successful closing of its previously-announced acquisition of Domtar (NYSE: UFS) (TSX: UFS), a leading provider of fiber-based products. The acquisition further establishes Paper Excellence Group as an industry leader, significantly broadening its global reach and expanding its product range to include airlaid nonwovens and containerboard, in addition to significantly increased pulp and paper production.

Domtar will operate as a stand-alone business entity within the Paper Excellence Group, with Domtar’s current CEO and management team remaining in place. There are no further changes to operating locations, business plans, or Domtar’s employee base at this time.

Under terms of the agreement, Domtar stockholders received USD$55.50 for each share of Domtar common stock. Domtar common stock will no longer be listed for trading on the New York Stock Exchange or the Toronto Stock Exchange.

Paper Excellence has extended its network of mills in Canada to the East Coast with the purchase of Northern Pulp Nova Scotia. Specifically, Paper Excellence Canada Holdings Corp of Vancouver, B.C. has reached an agreement to acquire Northern Resources, the parent company of Northern Pulp Nova Scotia and Northern Timber, Abercrombie Point, Nova Scotia.

 

"The agreement is good news for the company's 230 employees, 400 timberlands contract employees, suppliers and community and business partners as it strengthens the mill's economic position over the long-term," says Wayne Gosse, president and chief financial officer, Northern Resources. "A strong demand for the mill's product globally presents a great opportunity for the mill to be part of a large international network of pulp mills and to diversify and expand its markets."

 

Northern Pulp produces 275,000 tonnes per year of northern bleached softwood kraft pulp.

 

Gosse says Paper Excellence Group has a good track record in Canada in terms of business leadership, labour and First Nations partnerships, and environmental stewardship. Paper Excellence operates three mills in Canada: Meadow Lake in Saskatchewan and Howe Sound and Mackenzie in British Columbia, and is in the process of acquiring the long-closed Prince Albert mill in Saskatchewan. The company currently employs more than 800 Canadians.

 

"We have been impressed by Northern Pulp's operations, employees, and the quality of stakeholder relationships and partnerships," says Ed Roste, vice-president operations, Paper Excellence Canada. "We welcome Northern Resources into the Paper Excellence family. The Northern Resources team will continue to operate the mill and land holdings under the Northern Pulp name, and there are no job impacts as a result of the transaction.

 

"We're committed to continuing to build productive relationships with labour, First Nations, NGOs, and community partners to achieve balance of social, environmental and economic priorities in industry and forest management," he continued.

 

Northern Pulp was sold by Neenah Paper three years ago amidst uncertainty about the mill's future as a result of very difficult business conditions in the forestry sector worldwide. Since then, Northern Pulp's workforce has improved efficiency and productivity and local management has worked closely with stakeholders to stabilize the business. A $1-million investment in R&D, the acquisition of 422,000 acres of forest land for active management, and a commitment to work with Pictou Landing First Nation on economic development have been instrumental in the mill's resurgence.

 

In January, Natural Resources Canada through the Green Transformation Program announced investments of $28 million in three clean-tech programs to benefit Northern Pulp mill operations and the surrounding community.

Sale of Howe Sound Pulp and Paper completed

The sale of Howe Sound Pulp and Paper to Paper Excellence B.V., announced in July, is now complete.

Howe Sound Pulp and Paper Limited Partnership, jointly owned by Canfor Corp. and Oji Paper Co. Ltd. of Japan, has completed the sale of all its operating assets to Howe Sound Pulp and Paper Corporation, a newly formed subsidiary of Paper Excellence B.V.

The principal asset in the sale is the pulp and paper facility at Port Mellon, B.C., capable of producing 400,000 tonnes of NBSK pulp and 230,000 tonnes of mechanical paper.

Mackenzie pulp mill open for business

Paper Excellence B.V. celebrated the official re-opening of the Mackenzie Pulp Mill in Mackenzie, B.C. on Aug. 17. More than 220 workers have been brought back to work to support the re-opening of the mill and an estimated 500 spin-off jobs will be created.

"I would like to thank Paper Excellence for their valuable investment in the community of Mackenzie, the Omineca region and the province of British Columbia," said B.C. Premier Gordon Campbell. "I also want to thank Minister Pat Bell, the McLeod Lake Indian Band, the entire community and all partners for working together to ensure working families in this region have an opportunity to build a future right here in Northern British Columbia."

Located in the Northern Interior Rocky Mountain Trench and strategically centered in the "fibre basket" of the B.C. interior, the Mackenzie Mill operates at a total capacity of over 235,000 tonnes per year. The unique characteristics of the fiber resources within the region make Mackenzie pulp one of the brightest, cleanest, and strongest pulps in the world.

"Our land is full of precious resources, so we are willing to endorse companies that have the expertise, commitment and willingness to work with us to manage our resources in an environmentally sound manner," says Chief Derek Orr of the McLeod Lake Indian Band. "I look forward to working with Mackenzie Pulp Mill and exploring other opportunities that will benefit the McLeod Lake Indian Band, local communities and the province."

The Mackenzie mill was built in 1972 and was significantly modernized in 1996 with the addition of short fiber softwood digesting production capabilities.

It had been shut down for two years prior to being purchased by Paper Excellence earlier this year.

Paper Excellence B.V. continues its buying spree with an agreement to purchase the assets of Howe Sound Pulp & Paper LP. HSPP operates a pulp and paper facility at Port Mellon, BC, capable of producing 400,000 tonnes of NBSK pulp and 230,000 tonnes of mechanical paper and employs approximately 500 people. HSPP is owned by Canfor Corp. and Oji Paper Co., Ltd. of Japan.

The transaction is subject to customary closing conditions and closing is expected during the third quarter of 2010.

Just three months ago, Paper Excellence, a business unit of Indonesia papermaker Sinar Mas, purchased the idled Mackenzie pulp mill in Mackenzie, B.C. The Dutch company has also purchased two European mills from Tembec earlier this year.

The purchase price was not disclosed.

The Mackenzie pulp mill in British Columbia has been acquired by Paper Excellence B.V., for an undisclosed sum. The transaction secures the future of the mill which is expected to resume production of high quality NBSK pulp in the fall. The Mackenzie mill employs over 240 workers and will generate significant additional economic activity and jobs within the region.

Paper Excellence B.V. is a Netherland-based company associated with one of the world's largest pulp and paper producers of Asia Pulp and Paper brands.

This Mackenzie mill is the Paper Excellence Group's second acquisition in Canada. It currently owns and operates a pulp mill in Meadow Lake, Saskatchewan.

"We are very pleased to have a company like Paper Excellence establish itself in British Columbia," says Pat Bell, Minister of Forests and Range. "It already has experience in Canada with its mill in Meadow Lake and the company has maintained a high level of safe profitable production and regulatory compliance."

It took a concerted effort by a number of organizations and groups to get the mill to the point where it could resume production. Team Mackenzie of the Mackenzie Pulp Mill Development Corporation preserved the capacity of the mill to resume production. The Provincial Government worked with the District of Mackenzie to consolidate and reduce the debt of the mill.

"I want to credit the hard working public servants in the Rural BC Secretariat for the instrumental role they played in crafting a deal that will ensure hundreds of people in Mackenzie can head back to work," said B.C. Community and Rural Development Minister Bill Bennett. "It is personally gratifying to be able to help the District of Mackenzie at a time when the people of Mackenzie really need it."

The McLeod Lake Indian Band worked with the Ministry of Forests and Range to help secure the fibre needed to start the mill.

"We are very pleased that we have been able to work with the government and the community and be part of the effort to bring the mill back into production," says Chief Derek Orr of the McLeod Lake Indian Band. "By working together we can provide benefits for the entire region."

Also important was the negotiation of a new collective agreement with the Communications, Energy and Paperworkers Union (CEP). The agreement preserves wages, benefits and pensions, while enabling the mill to reopen with significant cost reductions.

"This is very good news for our members and for the community of Mackenzie," says CEP Western Region Vice President Jim Britton. "We are extremely happy to see our members return to well paying jobs within the forest industry and that it looks like they have a future in this industry."
