Verso Announces Future Leadership Transition

Dave Paterson will become Chairman of the Board when Verso Emerges from Bankruptcy and will Step Down as President and Chief Executive Officer when Verso Finds his Successor.

Paterson, the President and Chief Executive Officer and a director of the company, will become the Chairman of the Board of Verso immediately upon its emergence from its pending Chapter 11 bankruptcy proceeding.  In addition, Mr. Paterson has informed Verso's board of directors that he intends to step down as the company's President and Chief Executive Officer when Verso finds his successor, but until then, he intends to continue to serve in this role.  Though there is no set timetable for Mr. Paterson's departure, both Verso and he intend for the transition to occur in short order, with the objective that the new President and Chief Executive Officer be in place to guide Verso as soon as practicable after it emerges from bankruptcy.  Verso has engaged a search firm and is actively seeking a successor to Mr. Paterson.

Verso is Ready to Accept and Fulfill Specialty Paper Orders for Customers

Verso Corporation has just announced that the bankruptcy court presiding over Verso's Chapter 11 bankruptcy proceeding yesterday authorized Verso to reject a specialty paper supply contract with Expera Specialty Solutions. The contract with Expera, which was an element of the sale by International Paper Company of its industrial papers business to Thilmany, LLC in 2005, had a 12-year term expiring in 2017. The contract required Verso, as the assignee of International Paper, to manufacture specialty paper on the A5 paper machine at its Androscoggin mill in Jay, Maine, for sale to Expera, as the successor to Thilmany, at a price essentially equivalent to Verso's cost of producing the paper. By virtue of the bankruptcy court's order, the Expera contract now is rejected, which is essentially a termination of the contract that is authorized by federal bankruptcy law.

Verso LogoMoving forward from the rejection of the Expera contract, Verso intends to continue producing for its own account a portfolio of proven lightweight machine glazed papers for release liner, oil and grease resistant and flexible packaging applications. Verso intends to begin accepting and fulfilling customers' orders for these products starting today. Verso's goal is to ensure that customers continue to receive uninterrupted access to the specialty paper produced on the A5 paper machine.

The Town of Jay, Maine, and Verso Corporation (OTCPink: VRSZQ) have reached an agreement to resolve their dispute concerning property tax assessments for Verso's Androscoggin Mill.  

2016 04 26 073643In exchange for the Town's agreement to reduce Verso's property tax liability to more accurately reflect the assessed value of the mill property, Verso has agreed to withdraw its pending property tax appeals, and not to seek further abatements of taxes absent material changes to the mill property or operations.  

This agreement is intended to allow both parties to achieve sustainable operations over the coming years based on changing circumstances concerning the mill's taxable value.  

The reduction in the mill's property tax liability will be paid over time by the Town as credits against Verso's future tax bills.  

This agreement is subject to approval by the Town's select board and the bankruptcy court overseeing the Verso bankruptcy cases.  

The Town and Verso are pleased to have reached this agreement as part of a mutual effort to support the long-term viability of the Androscoggin Mill, which is an important goal of both parties.
