ahlstromThe European Commission has decided to close proceedings against Ahlstrom Corporation, Munksjö Oyj and Munksjö AB. The decision is taken following consideration of responses made by the companies to the Statement of Objections, presentations at the oral hearing and, in particular, the information provided in response to the Commission's request for information dated May 26, 2014.

Ahlstrom Corporation, Munksjö Oyj and Munksjö AB received on February 25, 2014 a Statement of Objections (Article 14.1(a))from the European Commission with respect to alleged incorrect or misleading information provided in connection with the merger notification to the European Commission, submitted in 2012. The business combination of Ahlstrom's Label and Processing business and Munksjö AB was completed in two phases during 2013.

EU Commission opens an in-depth investigation

euroThe Competition Directorate-General of the EU Commission has completed the first phase of its investigation under the EU Merger Regulation into the transaction between Ahlstrom's Label and Processing business and Munksjö AB and opened an in-depth (second phase) investigation into the proposed combination with respect to abrasive backings and pre-impregnated decor paper. The Commission now has 90 working days, until April 29, 2013, to take a final decision on whether the combination would significantly impede effective competition in the European Economic Area (EEA) or any substantial part of it.

Ahlstrom and Munksjö AB continue to work closely with the Commission in order to allow the Commission to complete its review as quickly as possible, aiming at a completion of the demerger of Ahlstrom's Label and Processing business in Europe and other related measures forming the first phase of the planned transaction during the first quarter of 2013. It is, however, possible that the completion of the first phase of the planned transaction will not take place until the second quarter of 2013.

On November 27, 2012, Ahlstrom's Extraordinary General Meeting approved the demerger concerning Ahlstrom's Label and Processing business in Europe and the demerger concerning Ahlstrom's Label and Processing business in Brazil in accordance with the demerger plans.

In these difficult times, it is the primary goal of Munksjö Decor to remain a reliable supplier to our valued customers. However, as a result of the present situation, we will face volume and price pressures which unfortunately lead to higher costs that are beyond our control. This, combined with the price increases from the titanium dioxide suppliers, has significantly increased our costs.

Due to the extraordinary situation in the pulp market, we are forced to increase our prices by 12 €/100 kg effective April 1, 2010. In addition, future price increases may be necessary because of the
unpredictable pulp market. This increase is in addition to the planned price increase that will become effective on July 1, 2010. Of course, already realized price increases from this extraordinary announcement will be considered in the implementation of this increase.
